1. Overview

This agreement (“Agreement”) governs your use of the GloFi™ Connectivity Adapter (“Product”) provided by Promega Corporation (“Promega”). The Product is a hardware device that enables MyGlo® instruments to connect to the ProNect® Data Platform via multiple connection methods.

By purchasing, activating, or using the Product, you (“Customer”) agree to these Terms and Conditions.

2. Components of the Product

2.1 GloFi Hardware and Software

The GloFi Connectivity Adapter hardware is manufactured by Compulab Ltd. for Promega, and associated software is developed by Promega and is bundled as part of this Product. Any disputes or issues arising from the GloFi hardware and/or software must be addressed directly with Promega Technical Services.

2.2 Connectivity Methods

The Product supports the following connection methods:

    • Wi-Fi – Connect to your lab’s 5 GHz wireless network
    • Ethernet – Wired connection to your lab’s network
    • Wi-Fi Hotspot –Create a wireless hotspot from GloFi enabling one or more MyGlo instruments to connect wirelessly to GloFi
    • Cellular data – Uses a customer-provided cellular data plan and SIM card; ideal for field or remote locations
    • Cellular Hotspot – Same as Cellular data plus a wireless hotspot from GloFi enabling one or more MyGlo instruments to connect wirelessly to GloFi

2.3 Cellular Connectivity – Customer-Provided

The Product does not include cellular data service. For cellular connection methods, Customer is solely responsible for obtaining and maintaining a compatible cellular data plan and SIM card from a carrier of their choice. Promega is not a party to any agreement between Customer and their cellular carrier and makes no representations or warranties regarding cellular network availability, coverage, or performance.

3. Use of the Product

3.1 Eligibility

Customer must be a legally authorized business entity or organization, or an individual who is at least 18 years old and legally authorized to enter into binding agreements in their jurisdiction.

3.2 Permitted Use

The Product is intended for research use only and must be used in compliance with all applicable laws and regulations. The GloFi Connectivity Adapter is intended solely for the purpose of connecting MyGlo instruments to the ProNect Data Platform for remote instrument operation, maintenance, and data transmission related to applicable Promega instrument functionality. Customer agrees to use the Product exclusively in connection with its intended scientific applications.

3.3 Prohibited Use

Customer may not:

    • Use the Product for illegal activities or in violation of any applicable law or regulation
    • Infringe upon any intellectual property rights in connection with use of the Product
    • Alter, reverse-engineer, or tamper with the hardware or software
    • Use the Product for unrelated purposes or to support third-party connections outside of its intended instrument connectivity function
    • Use any cellular connection in a manner that violates the terms of service of Customer’s cellular carrier

4. Hotspot Functionality

4.1 Hotspot Operation

When configured in a hotspot mode (Wi-Fi Hotspot or Cellular Hotspot), GloFi broadcasts a Wi-Fi network to enable wireless connection of one or more MyGlo instruments to a single GloFi device.

4.2 Hotspot Account Management

When GloFi is used as a hotspot to connect multiple MyGlo instruments, all connected devices are managed under a single ProNect account. To disconnect MyGlo instruments from the hotspot or to switch to another connectivity solution, the original ProNect account holder must disconnect the devices through their ProNect account. This safeguard is in place to prevent accidental disconnection while other MyGlo instruments are actively connected to the hotspot. In the event that the original account holder is unavailable or loses access, Customer’s designated administrator may contact Promega Technical Services to request an account transfer or override.

5. Product Activation and Setup

5.1 Activation

Customer is responsible for activating the Product using the instructions provided in the MyGlo Network Connection Guide. Activation requirements vary by connection method. For network-based connection methods (Wi-Fi, Ethernet, Wi-Fi Hotspot), Customer’s IT team may need to whitelist the GloFi device using its MAC address prior to setup. Use this form to request the MAC address for your GloFi. Contact Promega Technical Services to obtain the MAC address or other technical specifications for your device.

5.2 Technical Support

Promega Corporation may provide limited technical support for Product setup and configuration. Access the MyGlo Connection Troubleshooting Guide here. Issues specific to cellular connectivity must be addressed with Customer’s cellular SIM provider or carrier.

6. Warranties and Disclaimers

6.1 Hardware Warranty

The GloFi hardware is provided “as-is,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6.2 Software Warranty

The GloFi software is provided “as-is,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6.3 Cellular Connectivity Disclaimer

Promega makes no representations or warranties regarding cellular network performance, availability, or reliability. Customer’s cellular service is governed solely by the agreement between Customer and their chosen cellular carrier. Promega cannot be held liable for any losses, damages, or claims resulting from cellular service interruptions, coverage gaps, or carrier-imposed limitations.

6.4 General Disclaimer

Promega makes no warranties, express or implied, regarding the Product, including fitness for a particular purpose or non-infringement. Because third-party components (including Compulab hardware and customer-provided cellular services) are operated independently and outside the control of Promega, no warranty or guarantee—express or implied—regarding their performance, availability, or reliability is provided or assumed.

6.5 Regulatory Compliance

Customer is responsible for using the Product in compliance with all applicable laws and regulations related to the use of the Product, including any telecommunications laws governing cellular data usage in Customer’s jurisdiction. Promega disclaims any responsibility for regulatory compliance specific to Customer’s use of the Product.

7. Limitation of Liability

Promega is not liable for:

    • Connectivity issues caused by Customer’s cellular carrier or network infrastructure
    • Interruptions, limitations, or failures in any connectivity service, whether cellular, Wi-Fi, or Ethernet
    • Compulab hardware or Promega software [SR8] [PB9] defects or issues
    • Indirect, incidental, or consequential damages arising from use of the Product

In no event shall Promega’s total liability to Customer for any claims arising out of or related to this Agreement exceed the purchase price paid by Customer for the Product.

Customer acknowledges that connection availability, speed, and performance may be affected by factors beyond Promega’s control, including network coverage, environmental conditions, IT infrastructure, and carrier policies.

8. Fees and Payments

8.1 Product Pricing

The total price for the Product includes the GloFi hardware and software license. Cellular data service is not included in the purchase price and must be obtained separately by Customer.

8.2 Payment Terms

Payments are due as specified at the time of purchase. Failure to pay may result in termination of access to the Product or associated services.

9. Privacy and Data Security

9.1 Data Transmission

Use of the GloFi software and any connectivity service may involve the collection and processing of data. Data may be transmitted over any of the Product's supported connection methods, including Customer's Wi-Fi or Ethernet network or a Customer-provided cellular connection. For Wi-Fi, Ethernet, and Hotspot connections that route through Customer's network refer to www.promega.com/legal/privacy-policy. For cellular connections, refer to the privacy policy of Customer’s cellular carrier.

9.2 Customer Responsibility

Customer acknowledges that data transmitted using the Product travels over networks that Customer selects, configures, and controls, and that Promega has no control over and accepts no responsibility for the privacy or security of such data once it leaves the Product before it reaches the ProNect platform boundary. Customer is solely responsible for taking appropriate measures to secure data transmitted over any network, including the Customer Wi-Fi, Ethernet, cellular, or Hotspot connection used, in accordance with applicable industry standards.

10. Indemnification

Customer agrees to indemnify, defend, and hold harmless Promega, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

(a) Customer’s breach of this Agreement or any applicable law or regulation;

(b) Customer’s misuse of the Product, including unauthorized or out-of-scope use;

(c) Customer’s violation of any third-party rights, including intellectual property rights, privacy rights, or data security laws;

(d) Any agreement or dispute between Customer and Customer’s cellular carrier.

11. Termination

11.1 By Customer

Customer may terminate use of the Product at any time by discontinuing its use and returning the hardware if required under the applicable purchase agreement.

11.2 By Promega

Promega may terminate this Agreement for:

    • Non-payment
    • Violation of these Terms and Conditions
    • Discontinuation of support for the Product

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising out of or related to this Agreement that cannot be resolved through good-faith negotiation shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin. Each party irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection to the laying of venue in such courts.

13. Amendments

Promega reserves the right to amend these Terms and Conditions at any time. Notice of amendments will be provided via email to the address on file with Promega at least 30 days prior to the effective date of the amendment. Continued use of the Product following the effective date of amendments constitutes acceptance of the updated terms.
